These terms and conditions constitute an agreement between the service user and Noisegate Studios. Use of this site is governed by the terms and conditions described below. Please read them carefully. Your use of this site indicated your acceptance of these terms and conditions.
Modification of Terms and Conditions
Noisegate Studios reserves the right to change the Terms & Conditions under which the Noisegate Studios website and services are offered, including but not limited to the charges associated with the use of Noisegate Studios services and the website. You are responsible for regularly reviewing these terms and conditions. Noisegate Studios reserves the right to make modifications to these Terms & Conditions at any time and without notice to users. You accept the obligation to review these Terms & Conditions, and your use of this site constitutes an acceptance to be bound by any modifications.Conditions and Restrictions on Use
You agree that your use of Noisegate Studios’ ‘CD to digital audio file’ conversion service is at your own risk and that our advice, assistance or guidance on this site does not constitute the acceptance of any liability. You also agree to provide true, accurate and complete information about yourself and your CDs in the checkout registration form. The CDs that I am asking Noisegate Studios to convert into digital music files are my property and do not include any counterfeit CDs. I will not share copies of the resulting digital music files with anyone and I will not distribute them over file sharing services. This service is used to transform your own materials into a digital format. It is only available for conversion of materials you are authorized or legally permitted to change in format, materials in which you own the relevant copyrights, or non-copyrighted materials. It is your responsibility, not Noisegate Studios’s, to ensure that any material that you convert using Noisegate Studios does not violate anyone's copyright and that the conversion process does not violate anyone’s copyright. You agree to defend and hold Noisegate Studios harmless from your violation of copyright laws by your use of the service. If you are uncertain about your right to copy, convert or permit access to any material, you should contact your legal advisor. I understand that if I sell the original CD that it is my responsibility to delete the associated encoded files. I understand that Noisegate Studios actively encourages the responsible use of digital music by including unique and traceable information on each file that identifies the music as my own. If Noisegate Studios receives a notice alleging that you have engaged in behaviour that infringes other's intellectual property rights or reasonably suspects the same, Noisegate Studios may terminate your order. If Noisegate Studios suspends or terminates your account under this paragraph, it shall have no liability or responsibility to you, including for any amounts that you have previously paid. No contract is formed between you and Noisegate Studios until Noisegate Studios exercises the authorisation to charge your credit card, and the charge is validated and accepted by your credit card company. Because this site is viewable internationally, not all products and services mentioned will be available in your country. You agree that Noisegate Studios will make its best effort to secure information that you have passed explicitly to them and acknowledge that all payment method details are not retained on the Noisegate Studios systems. You agree to indemnify, defend and hold Noisegate Studios, its officers, directors, employees, shareholders, agents, affiliates, subsidiaries, suppliers and representatives harmless from and against any and all claims, damages, losses, costs, and expenses (including but not limited to solicitors’ fees) that arise directly or indirectly from use of your details obtained by; (a) unauthorised access to the Noisegate Studios systems (b) any other unauthorised manner.Quality of Service
I understand that the condition of my CDs impacts Noisegate Studios‘s ability to successfully convert a CD into an MP3 files. I understand that CDs with defects that are submitted to Noisegate Studios may not be converted if they do not result in a perfect encoding, and that these CDs will still count towards the number of CDs converted. At our option, we will either refund or credit the charges you paid for the services (including shipping charges, if applicable) upon your request if we fail to properly provide the services or to properly ship the products, subject to limitations described above. In order to qualify for a refund or credit due to service failure, the following limitations apply: To obtain a refund or credit, at our option, for a service failure, you must notify us within thirty days of the earlier of (i) the date of invoice or (ii) the date of shipment or the date picked up. In the case of a failure to properly provide the services paid for all materials supplied by Noisegate Studios to you will need to be returned for inspection. In the case of a claim concerning any non-delivery, mis-delivery, late delivery, damaged shipment or other shipping-related claim, you must retain all original shipping containers, packaging and contents and make the foregoing items available for our inspection. You are liable for all expenses conceded whilst making a claim (including but not limited to solicitors’ fees and delivery costs). The right to damages against Noisegate Studios under any cause of action arising from or related to the provision of Services or Products or shipment of any Products shall be extinguished unless an action is brought within on 1 year of the date of order. In the event of a successful claim all materials supplied to you by Noisegate Studios (including but not limited to packaging materials and DVD or CD copies of your encoded CD collection) will be returned to Noisegate Studios for their disposal.External Information

You agree to indemnify and hold Noisegate Studios harmless from any suit demand, or claim made against Noisegate Studios by breach of this agreement and agree to pay any judgment or reasonable settlement offer resulting from any such suit, demand or claim, and to pay any attorney’s fees incurred by Noisegate Studios in defending against such suit, demand or claim. Neither Noisegate Studios nor any of its affiliates, subsidiaries, suppliers or service providers will be liable for any direct damages, nor shall any adjustment, refund or credit of any kind be made in excess or the lesser of £100.00 or the amount paid to Noisegate Studios for the conversion services, if any. In no event will Noisegate Studios or its affiliated, suppliers or service providers be liable for, nor make any adjustment, refund or credit of any kind for, any loss, corruption, delay, inclusion, omission, shipment, mis-delivery, non-delivery, misinformation, other direct or indirect damages, or failure to provide converted materials, or shipping services to the extent caused by or resulting from:-
1. Your acts, defaults or omissions;
2. Your violation of any of the terms and conditions contained in these Terms & Conditions, as amended from time to time;
3. Your failure to provide an accurate shipping address or other pertinent information;
4. Acts, defaults or omissions of any person or entity other than Noisegate Studios, including our compliance with verbal or written instructions from the sender, recipient or persons claiming to represent the shipper or recipient;
5. Our inability to provide a copy of the delivery record or a copy of the signature obtained at delivery;
6. Our failure to provide a valid shipping account number in good credit standing in the billing instructions on shipping documentation;
7. Our failure to notify you of any delay, loss or damage in connection with your shipment or any inaccuracy in such notice;
8. Our release of shipments without obtaining a signature if a signature release is on file; or
9. Our provision of advice, assistance or guidance on this site or through email does not constitute acceptance of any liability whatsoever.
